Overview

Welcome to Keepset. "We", "us" and "our" refer to Keepset Co., LLC, an Indiana limited liability company based in Brownsburg, Indiana. We operate this store and website, including all related information, content, features, tools, products and services (the "Services"), and we make custom photo magnets and photo mosaics by hand.

Keepset is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced in them, describe your rights and responsibilities when you use the Services. Please read them carefully: they include important information about your legal rights, and cover warranty disclaimers and limits on liability.

Section 4 is the one to read before you order. It sets out the rights you must have in any photograph you send us, and what we will not print.

By visiting, interacting with or using the Services, you agree to these Terms of Service and our Privacy Policy. If you do not agree to them, please do not use the Services.

1. Access and account

By agreeing to these Terms, you represent that you are at least the age of majority in your state of residence, and that you consent to any minor dependents using the Services on devices you own, purchase or manage.

To use the Services you may be asked for information such as your email address and billing, payment and shipping details. You represent that everything you give us is correct, current and complete, and that you have the right to provide it.

You are responsible for the security of your account credentials and for activity on your account. You may not transfer, sell, assign or license your account to anyone else.

2. What we make

Everything we sell is made to order. Nothing is picked off a shelf: your photographs are printed, cut and pressed after you buy, specifically for you. That is the reason for our Refund Policy, which forms part of these Terms.

We have made every effort to represent our products accurately, but colour and appearance may differ from how they look on your screen, depending on your device and its settings. We do not warrant that a product will be identical to how it appeared online. Descriptions may change without notice, and we may discontinue a product or limit quantities at our discretion.

3. Orders

When you place an order you are making an offer to purchase. We may accept or decline any order at our discretion, and your order is not accepted until we confirm it. We must receive and process payment before an order is accepted. Please check an order carefully before submitting it, because we may be unable to cancel it once it is accepted — see "Cancelling before we start" in the Refund Policy.

If we decline, change or cancel an order, we will try to reach you using the email address, billing address or phone number given at the time.

Retail orders are for your own personal or household use. Buying to resell is welcome, but it is a wholesale arrangement rather than a retail one — please contact us for wholesale and bulk terms rather than placing a retail order, since pricing, minimums and shipping differ.

4. Your photographs, and the rights you must have

This section is the important one. Please read it.

4.1 You must have the right to print every image you upload. By uploading an image and placing an order, you confirm that you own it, or that you have the permission of whoever does, and that printing it does not break anyone else's rights.

4.2 Professional photographs belong to the photographer. This catches more people than anything else on this page. A school portrait, a wedding photograph, a newborn or family session, a sports team photo — the photographer normally owns the copyright, and buying prints or receiving digital files does not transfer it. Many photographers grant a print release on request and are happy to. Ask them before you upload. If you have a print release we may ask to see it.

4.3 We do not print copyrighted or trademarked material. This includes, and is not limited to: film, television and cartoon characters; brand names and logos; sports team names, marks and uniforms; album and book artwork; artwork, illustration and photography you did not make and are not licensed to use; and anything else protected by copyright, trademark, or trade dress that you do not have written permission to reproduce.

4.4 We do not print inappropriate content. We will not print anything that is:

• sexually explicit, or sexual in any way involving a minor;
• violent, graphic, or gratuitous;
• hateful, harassing, threatening, or demeaning toward any person or group, including on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or age;
• promoting illegal activity, self-harm, or the use of illegal drugs or weapons;
• deceptive, defamatory, or designed to impersonate somebody; or
• otherwise unlawful.

Any image that appears to sexually exploit a child will be reported to the National Center for Missing & Exploited Children and to law enforcement, and your order will be cancelled.

4.5 The people in your photographs. If your image shows somebody other than you or your own family, you confirm you have their permission — or their parent's or guardian's, if they are a child — to have it printed.

4.6 We may refuse any order. We look at every order before we make it, because a person makes each one. If an order breaks this section, we will cancel it and refund you in full. We are not obliged to explain a refusal, and refusing one order does not oblige us to refuse or accept any other.

5. What you allow us to do with your images

You keep every right you had in your photographs. You give us a limited, non-exclusive licence to store, crop, resize, print and reproduce them only so far as is necessary to make and deliver your order, and to keep the records described in our privacy policy.

We will not use your photographs to advertise Keepset unless you have given us permission to. That permission is asked for separately and is always optional. Declining costs you nothing and changes nothing about your order.

6. Image quality

We print what you give us. The personalizer measures every image as you upload it and tells you what it will look like:

• images with plenty of detail are marked as printing cleanly;
• images with less detail are marked as likely to look soft, and we will still make them if you choose to go ahead;
• images with too little detail to make a magnet worth having are refused, and you will be asked for another.

If you accept a softness warning and order anyway, the result is not a defect, and it is not grounds for a refund. If you are unsure, send it to us before you order and we will tell you honestly.

7. Handmade variation

Every magnet is printed, cut and pressed by hand. Colour on paper is never an exact match for colour on a screen, and cutting by hand carries a fraction of a millimetre of variation. Small differences of this kind are a property of the thing you are buying, not a fault in it.

8. Prices and billing

Prices are in US dollars. Prices, discounts and promotions may change without notice; the price that applies to your order is the one in effect when you place it, as set out in your order confirmation. Unless stated otherwise, posted prices exclude taxes, shipping and handling. Prices online may differ from prices at a market or event.

You agree to give current, complete and accurate purchase and payment information, and to keep it up to date so we can complete your transaction and reach you if needed. You represent that any card details you provide are true and complete, that you are authorised to use the card, and that you will pay the posted price including shipping and any tax.

9. Shipping and delivery

We ship within the United States only. We do not ship internationally.

Everything is made to order, so the time it takes to make your order is separate from the time a carrier takes to deliver it, and we will tell you when yours ships. Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers or by events outside our control.

Free shipping applies to standard retail orders over $35. It does not apply to bulk, wholesale, corporate or event orders, which are quoted individually with shipping quoted alongside. If you are unsure which yours is, ask before you order and we will tell you plainly. Free local pickup in Brownsburg is available on any order.

Risk of loss passes to you on delivery, not on dispatch. If a parcel is lost or damaged on its way to you, that is ours to put right — see the Refund Policy. This is deliberately more generous than the law requires of us.

10. Markets and events

Where we make magnets in person, the same terms apply, and section 4 applies to the images you hand us exactly as it does to images uploaded to the site. Prices at a market may differ from prices online. Anything made in front of you is yours as soon as it is paid for.

11. Returns and refunds

Our Refund Policy forms part of these Terms. In short: because everything is made to order, sales are final — and if anything arrives damaged, does not arrive, or is not what you ordered, we put it right.

12. Our intellectual property

The Services, including all trademarks, text, images, graphics, video and audio, and the design, selection and arrangement of them, are owned by Keepset or its licensors and are protected by US and foreign intellectual property laws. This does not affect your ownership of the photographs you send us, which is dealt with in section 5.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material on the Services without our prior written consent. Nothing in these Terms grants you a licence under any patent, trademark, copyright or other intellectual property of Keepset, Shopify or any third party. All rights not expressly granted are reserved.

Keepset's names, logos, product names, designs and slogans are our trademarks and you must not use them without our written permission. Shopify's name and logo are trademarks of Shopify. All other names and marks belong to their respective owners.

13. Optional tools

You may be given access to third-party tools through the Services that we neither monitor nor control. We provide access to them "as is" and "as available", without warranties or endorsement, and we have no liability arising from your use of them. Using them is at your own risk, and you should satisfy yourself that you accept the third party's own terms.

We may offer new features and tools in future; they form part of the Services and are subject to these Terms.

14. Third-party links

The Services may contain materials and links to websites operated by third parties. We are not responsible for examining or evaluating them, and if you leave the Services to visit them you do so at your own risk. We are not liable for any harm arising from third-party sites or from products you buy there. Complaints about a third party's products or services should go to that third party.

15. Relationship with Shopify

Keepset is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Keepset. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Keepset, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Keepset.

16. Privacy

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy. By using the Services you acknowledge that you have read them.

Because the Services are hosted by Shopify, Shopify collects and processes information about your use of the Services in order to provide and improve them. Information you submit will be transmitted to and shared with Shopify and with third parties who may be located in other countries, in order to provide services to you.

How we handle the photographs you send us is set out in section 5 of these Terms and in our Privacy Policy.

17. Feedback

If you send us ideas, suggestions, feedback, reviews or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display it in any medium for any purpose, including commercially — to operate, evaluate, improve and promote the Services.

Feedback is not the same as your photographs. This section does not apply to images you upload to have made into a product; those are governed by section 5, and we do not use them to advertise Keepset unless you have separately agreed.

You represent that you own or have all necessary rights to your Feedback, that you have disclosed any compensation received in connection with it, and that it complies with these Terms. We are under no obligation to keep Feedback confidential, to pay for it, or to respond to it. We may, but need not, monitor, edit or remove Feedback we consider unlawful, offensive, defamatory, obscene or otherwise objectionable, or that infringes anyone's rights.

You agree your Feedback will not infringe any third party's rights, will not be unlawful, abusive or obscene, and will not contain malicious code. You may not use a false email address or pretend to be someone else. You are responsible for your Feedback and we assume no liability for it.

18. Errors, inaccuracies and omissions

Occasionally there may be information in the Services containing typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct any such error and to change or update information, or cancel an order, if any information is inaccurate — at any time and without prior notice, including after you have submitted an order.

19. Prohibited uses

You may use the Services for lawful purposes only. You may not use them, directly or indirectly: for any unlawful or malicious purpose; to violate any law or regulation; to infringe our intellectual property rights or anyone else's; to harass, abuse, defame, intimidate or harm any person; to transmit false or misleading information; to send junk mail, chain letters or spam; to impersonate any person or entity; or to engage in conduct that restricts anyone's use of the Services or exposes us, Shopify or other users to liability.

You also agree not to: upload viruses or other malicious code; reproduce, duplicate, copy, sell, resell or exploit any portion of the Services; collect or track others' personal information; spam, phish, pharm or pretext the Services; use any robot, spider, scraper, data extraction tool, AI tool (such as agentic AI) or other automated means to access the Services; or interfere with, bypass or circumvent our security or access-control measures.

We may suspend, disable or terminate your access at any time, without notice, if we determine you have breached any part of these Terms.

20. Agents

20.1 This section applies if you use, allow, enable or cause the deployment of an Agent to access, use or interact with the Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, a person or entity, and that can be executed on behalf of or using a person's device without direct supervision.

20.2 No Agent may access, use or interact with the Services unless it identifies itself and operates in strict accordance with 20.4 at all times, and no Agent may do so if we have asked it to refrain.

20.3 We may limit, including by technical measures, whether and how any Agent accesses, uses and interacts with the Services.

20.4 Agents must: (i) identify in all HTTP/HTTPS requests that the request is from an Agent and disclose its name, by including Agent/[agent name] in the request's user agent string; (ii) not conceal or obfuscate that access is from an Agent, including by mimicking human interaction patterns or by completing or circumventing CAPTCHAs or other measures intended to distinguish computers from humans; (iii) respond truthfully to any question or prompt seeking to determine whether interactions come from a human or a computer; and (iv) not circumvent any measure intended to block, limit or control how Agents access the Services.

21. Termination

We may terminate this agreement or your access to the Services at our discretion at any time without notice, and you remain liable for all amounts due up to and including the date of termination.

The following sections survive termination: Your photographs and the rights you must have; What you allow us to do with your images; Our intellectual property; Feedback; Termination; Disclaimer of warranties; Limitation of liability; Indemnification; Severability; Waiver and entire agreement; Assignment; Governing law; Privacy; and any other provision that by its nature should survive.

22. Disclaimer of warranties

Information in the Services is provided for general information only. We do not warrant its accuracy, completeness or usefulness, and any reliance you place on it is at your own risk.

EXCEPT AS EXPRESSLY STATED BY KEEPSET CO., LLC, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.

Nothing in these Terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Nothing in this section affects the promises we make in the Refund Policy.

23. Limitation of liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL KEEPSET CO., LLC, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, EVEN IF ADVISED OF THEIR POSSIBILITY.

In plain terms, and subject to the paragraph above: our total liability for any order is limited to what you paid for it. We cannot recover a photograph you no longer have a copy of, so please keep your own copies of anything you send us.

24. Indemnification

You agree to indemnify, defend and hold harmless Keepset Co., LLC, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party arising out of (1) your breach of these Terms or any document they incorporate, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

This is the practical reason section 4 matters. We make what you send us, and we rely on you to have the right to send it — so a copyright claim from a photographer whose work was uploaded without permission is yours to answer.

We will notify you of any indemnifiable claim, though a failure to notify promptly will not relieve you of your obligations unless you are materially prejudiced. We may control the defence and settlement of such a claim at your expense, including choice of counsel, but will not settle a claim requiring non-monetary obligations from you without your consent, not to be unreasonably withheld. You will cooperate in the defence, including by providing relevant documents.

25. Severability

If any provision of these Terms is determined to be unlawful, void or unenforceable, it shall nonetheless be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be severed. That determination does not affect the validity of the remaining provisions.

26. Waiver; entire agreement

Our failure to exercise or enforce any right or provision of these Terms is not a waiver of it. These Terms, together with any policies posted by us in respect of the Services, constitute the entire agreement between you and us and supersede any prior agreements, communications and proposals, whether oral or written, including any prior version of these Terms. Any ambiguity shall not be construed against the drafting party.

27. Assignment

You may not delegate, transfer or assign these Terms or any of your rights or obligations under them without our prior written consent, and any attempt to do so is void. We may transfer, assign or delegate these Terms and our rights and obligations without your consent or notice.

28. Governing law

These Terms and any separate agreement by which we provide you Services are governed by the laws of the State of Indiana. You and Keepset consent to venue and personal jurisdiction in the state and federal courts serving Hendricks County, Indiana.

29. Headings

Headings are for convenience only and do not limit or otherwise affect these Terms.

30. Changes to these Terms

You can review the current version of these Terms at any time on this page. We may update, change or replace any part of them by posting the change here, and it is your responsibility to check periodically. We will notify you of material changes in accordance with applicable law. Continued use of the Services after a change is posted constitutes acceptance of it. The version that applies to an order is the one published when the order was placed.
